ACE 1.0

Grupo Argos launches a new share buyback offer of up to COP 150 billion as part of the execution of ACE 1.0

4 November 2026
  • This is Grupo Argos’ second share buyback offer through the Colombian Stock Exchange’s Independent Mechanism.
  • The transaction is aligned with the execution of the third pillar of ACE 1.0, which предусматривает deploying COP 500 billion in share buybacks, flexibly combining purchases through the stock exchange’s trading systems and the Independent Mechanism.
  • Grupo Argos will continue executing share buybacks under market conditions, provided they offer an attractive return compared to other potential uses of capital.
  • In recent weeks, Grupo Argos strengthened its financial capacity to execute ACE 1.0 with cash inflows exceeding COP 440 billion from the divestment of Pactia’s shopping malls and Odinsa’s extraordinary dividend distribution.

Grupo Argos published a new share buyback offer notice for common and preferred shares for a maximum aggregate amount of COP 150 billion. The transaction will be carried out through the Independent Mechanism administered by the Colombian Stock Exchange, using a book-building process.

This is the second transaction of its kind undertaken by the company and represents further progress in the execution of ACE 1.0, the program through which Grupo Argos seeks to accelerate the generation, capture, and transfer of value to its shareholders and help its shares’ market price converge toward the company’s fundamental value.

The third pillar of ACE contemplates deploying COP 500 billion in share buybacks, flexibly combining purchases through the stock exchange’s trading systems and the Independent Mechanism. These transactions will be executed whenever they offer attractive returns relative to the cost of capital and other investment alternatives available to the company.

“This second offer allows us to continue accelerating Grupo Argos’ share buyback program, one of our commitments under ACE. We have a strong financial structure, have strengthened cash generation and transfers to Grupo Argos, and remain confident in the company’s fundamental value.”

Felipe Aristizábal, Vice President of Strategy and Finance at Grupo Argos.

This offer follows the first transaction conducted through the Independent Mechanism between August and September. On that occasion, Grupo Argos repurchased approximately COP 39 billion worth of shares at price levels aligned with market conditions and its capital allocation criteria. The results demonstrated the mechanism’s flexibility in accessing additional volumes of shares while maintaining the return discipline that guides ACE 1.0.

Shareholders interested in participating in this transaction may submit an offer through the brokerage firm of their choice, indicating the number of shares they wish to sell and the price at which they would be willing to do so.

Holders of Grupo Argos common and preferred shares duly registered as shareholders with Deceval as of 12:00 a.m. on Wednesday, November 4, 2026, will be eligible to participate. Each shareholder may offer anywhere from one share to all the shares they own as of the record date. The offer submission period will begin on the trading day following the publication of the notice, Thursday, November 5, 2026, and will remain open for four trading days, from 8:30 a.m. to 3:00 p.m.

Once the order book has been built for each share class, the Share Buyback Committee will determine the price and maximum amount to be allocated to common and preferred shares, considering factors such as the offers received, the company’s efficient and disciplined capital allocation, recent market prices for each share class, and prevailing market conditions at the time of allocation. Offers exceeding the determined price will not be accepted.

The Colombian Stock Exchange will carry out the allocation within five business days following the close of the offer submission period. Payment for the allocated shares will be made in cash, in Colombian pesos, and settlement will take place on the trading day following the allocation.

Valores Bancolombia will act as the company’s brokerage firm for the share buyback. Additional details regarding the transaction are available in the Share Buyback Guide, which can be accessed at:
